To our global user group leadership,

In the past few months, Oracle announced agreements to acquire Global Knowledge Software LLC, ClearApp Inc. and Advanced Visual Technology Ltd.

  • On July 31, 2008, we announced that we had agreed to acquire Global Knowledge Software LLC (GKS), a division of Global Knowledge, Inc.
  • On September 2, 2008, we announced that we had agreed to acquire ClearApp Inc. (ClearApp)
  • On October 1, 2008, we announced that we have entered into an agreement to acquire Advanced Visual Technology Ltd. (AVT). The AVT transaction is expected to close in the second half of 2008. It is subject to customary closing conditions and until the deal closes, each Company will continue to operate independently.

Global Knowledge Software LLC

Global Knowledge Software LLC (GKS) is a leading provider of self-service training automation software. We expect to provide a single solution for end-user training and process documentation that will support all Oracle and non-Oracle applications across the enterprise and help speed the time to productivity for end users.

ClearApp

ClearApp provides visibility of business services across all related application components. Managing composite applications built on SOA platforms has become increasingly difficult but we expect that ClearApp, together with Oracle Enterprise Manager, will enhance service levels, reduce system down time, and improve return on SOA investments. This acquisition is consistent with our strategy of building out a complete enterprise management solution, and I think your team will be as enthusiastic as we are about this addition to the Oracle portfolio.

Advanced Visual Technology Ltd.

AVT is a leading provider of 3D visual macro space planning software. Oracle Retail combined with AVT will provide a comprehensive space planning and optimization solution that is expected to maximize profitability of one of the retail industry's most valuable assetstheir retail store space. AVT complements Oracle Retail Space Optimization which provides optimal space, fixture, and item on-shelf allocation recommendations based on business rules, forecasted demand, and profit potential.

Oracle is very focused on customer satisfaction and plans to provide for a smooth transition without customer disruption, including the transition of the user group program. Oracle is experienced with integrating companies quickly and efficiently. Oracle will provide dedicated personnel from key functional areas, including User Group Management, for integration and utilize proven templates and processes for repeatable success in integration.

Until the AVT transaction officially closes, Oracle and AVT cannot comment on future integration plans. Please rest assured that we will communicate any updates throughout this process with you, our global user group leadership, when they become available.
